Terms of Service

These Terms of Service (the “Terms”) form a binding agreement between you and Elibro (“Elibro”, “we”, “us”, or “our”), a service operated from Canada. They govern your access to and use of the Elibro website, applications, and related services (collectively, the “Service”). Please read them carefully. By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. Who may use the Service
You must be at least 13 years old to use the Service. If you are under the age of majority in your province or territory of residence, you may only use the Service with the involvement and consent of a parent or legal guardian who agrees to be bound by these Terms. By using the Service, you represent that you meet these requirements and that you have the legal capacity to enter into this agreement.
If you use the Service on behalf of a school, organization, or other entity, you represent that you are authorized to bind that entity to these Terms.
2. The Service
Elibro is an AI-assisted study tool. It lets you create studies, upload or input study materials (such as documents and notes), and uses third-party artificial intelligence models to help you learn. Depending on your plan, the Service may include features such as:
- AI-generated flashcards, multiple-choice quizzes, long-answer (written) question sets, and summaries based on your materials;
- Interactive study modes, including flashcard review, quiz practice, and long-answer practice with AI-assisted grading, hints, and model answers;
- An in-study AI chat that can answer questions using your uploaded materials as context; and
- Progress tracking so you can resume flashcard, quiz, and long-answer sessions.
The Service may be offered with free usage limits or through a paid subscription. Features, limits, and pricing may change over time, and we may add, modify, or remove functionality at our discretion.
3. Your account
You may need to create an account (for example, by signing in with a third-party identity provider) to use certain features. You are responsible for:
- Maintaining the confidentiality and security of your login credentials;
- All activity that occurs under your account; and
- Notifying us promptly at the contact address below if you suspect any unauthorized use of your account.
We are not liable for any loss arising from unauthorized use of your account that results from your failure to keep your credentials secure.
4. Your content
“User Content” means any files, documents, text, notes, prompts, and other material you upload to or submit through the Service. As between you and Elibro, you retain all ownership rights in your User Content.
You grant Elibro a limited, non-exclusive, worldwide, royalty-free licence to host, store, copy, process, transmit, and display your User Content solely to operate, provide, secure, and improve the Service for you — including transmitting it to the third-party AI and infrastructure providers described in our Privacy Policy. This licence ends when you delete your User Content or close your account, except for residual copies retained for a limited period as part of routine backups or as required by law.
You represent and warrant that:
- You own your User Content or have all rights and permissions necessary to upload and use it with the Service; and
- Your User Content and your use of the Service do not infringe the intellectual-property, privacy, or other rights of any third party, and do not violate any applicable law.
5. Acceptable use
You agree not to:
- Use the Service for any unlawful, infringing, harmful, or fraudulent purpose;
- Upload content you do not have the right to use, or that is illegal, defamatory, or violates another person’s privacy or intellectual-property rights;
- Attempt to access accounts, data, or systems that do not belong to you, or otherwise breach or circumvent security measures;
- Reverse engineer, decompile, scrape, or attempt to extract source code or training data from the Service, except to the extent this restriction is prohibited by applicable law;
- Interfere with, overload, or disrupt the Service or the networks and infrastructure that support it;
- Use the Service to develop a competing product or to build a machine-learning model; or
- Use the Service in a way that violates the usage policies of our third-party AI providers.
6. AI-generated content, grading, and academic integrity
Content generated by the Service — including flashcards, quiz questions, summaries, chat replies, model answers, and feedback on your written responses — is produced by automated AI models and may be inaccurate, incomplete, biased, or out of date. AI output can “hallucinate” facts. Automated grading and feedback are provided for study purposes only and are not a definitive assessment of your knowledge or performance. You are responsible for reviewing and verifying any output before relying on it.
When you submit written answers for long-answer practice, you grant us permission to process those responses with AI models to generate feedback and related study content. Do not submit content you do not have the right to share or that contains sensitive personal information you do not want processed.
The Service is a study aid only. It does not provide medical, legal, financial, or other professional advice. You are solely responsible for using the Service in a manner consistent with the academic-integrity rules, honour codes, and policies of your school or institution — including rules about AI assistance, automated grading, and submitted coursework. Elibro is not responsible for any academic, disciplinary, or other consequences arising from your use of the Service or any generated content.
7. Intellectual property
The Service, including its software, design, branding, and content (excluding User Content and AI output generated for you), is owned by Elibro or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your personal, non-commercial study purposes, subject to these Terms. All rights not expressly granted are reserved.
8. Third-party services
The Service relies on third-party providers for functions such as authentication, cloud storage, database hosting, and AI processing. Your use of the Service may also be subject to those providers’ terms. We are not responsible for the practices of third-party services, and their availability is outside our control.
9. Fees and subscriptions
The Service may include a free tier with limited usage (for example, limits on studies, generations, or AI prompts) and paid subscription plans that unlock additional usage. Current limits and pricing are shown in the Service before you subscribe or incur a charge.
If you purchase a paid plan, you authorize us and our payment processor (such as Stripe) to charge the payment method you provide on a recurring basis until you cancel. Subscriptions renew automatically at the end of each billing period unless cancelled through the billing tools made available in the Service or through our payment processor’s customer portal. Fees are generally non-refundable except where required by applicable law or expressly stated otherwise at checkout.
We may change prices or plan features from time to time. Where required, we will give you notice before a price change affects your subscription. If you do not agree to a change, you may cancel before the new price takes effect.
10. Disclaimers
To the maximum extent permitted by applicable law, the Service is provided on an “as is” and “as available” basis, without warranties or conditions of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that AI output will be accurate or reliable.
Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy that you may have under applicable law (including Canadian provincial consumer protection legislation) that cannot lawfully be excluded or limited.
11. Limitation of liability
To the maximum extent permitted by applicable law, Elibro and its operators will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, profits, goodwill, or other intangible losses, arising out of or relating to your use of (or inability to use) the Service.
To the maximum extent permitted by applicable law, our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amount you paid us for the Service in the twelve (12) months before the event giving rise to the claim, or (b) CAD $100. These limitations do not apply to liability that cannot be limited under applicable law.
12. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless Elibro and its operators from any claims, damages, liabilities, and reasonable expenses (including legal fees) arising out of your User Content, your use of the Service, or your breach of these Terms or of applicable law.
13. Suspension and termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service if you breach these Terms, if required to protect the Service or other users, or if required by law. Upon termination, your right to use the Service ends. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.
14. Governing law and disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. Subject to any non-waivable rights you have under applicable consumer protection law, you agree that the courts located in Ontario, Canada will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service. Nothing in this section deprives you of the protection of mandatory consumer laws of your province or territory of residence.
15. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect means you accept the revised Terms.
